Essential Functions:

Interface with clients in order to structure, negotiate and close complex structured financing transactions that meet the client’s financing objectives while achieving the optimal terms and conditions for the firm. 

Interact directly with clients, lawyers, accountants, appraisers, credit underwriters and investors in order to create financial solutions that meet the needs of the various parties involved.

Coordinate activities among deal team, clients and investor syndicates to ensure efficient transaction execution. At a minimum, activities will include:

  • Assist in negotiating proposal letters.
  • Participate in client calls to discuss any unique aspects of a transaction and any structuring issues.
  • Review purchase and sale agreements for material terms and flag those for legal/credit/asset management (ex. aircraft coming off of a foreign registry)
  • Coordination with internal stakeholders (legal, credit, risk, asset management) for required terms and conditions of approval, and providing this information to GCAF Contracts or BAL outside counsel
  • Reviewing drafts prepared by GCAF Contracts or BAL outside counsel to ensure they comply with BAL requirements from internal stakeholders and the terms of the executed proposal letter
  • Coordination of all negotiated provisions with internal stakeholders to obtain their decision on negotiated terms
  • Conveying decisions of internal stakeholders to outside counsel
  • Following up with client to ensure they have approved pricing.  If not, work with client and BAL Pricing and Sales to address concern
  • Jurisdictional due diligence for non-US transactions – coordinate engagement of outside counsel; review jurisdictional memo; highlight any perceived issues with internal stakeholders; assisted with the development of a jurisdictional memo questionnaire for outside counsel to review; developed process for operations team.
  • Continuous management of document negotiation and finalization process between BAL and client, including:
  • (a) Scheduling and managing conference calls for internal and external discussions
  • (b) Engaging with client and client counsel to communicate BAL’s position on negotiation points
  • (c) Continually reviewing all draft documents through each negotiation stage and coordinating review and decision-making with internal stakeholders
  • (d) Continuous monitoring of status of client closing checklist/closing deliverables and follow-up with client to ensure transaction on-track for closing (ex: insurance, maintenance program agreements)
  • (e) Ensuring that any non-document BAL requirements are satisfied, including verifying receipt of TRE with Credit, and the appraisal and inspection with Asset Management

This position is posted as a Sr Transaction Manager, but is flexible to be filled as a Transaction Manager based on the skill set/experience of the candidate.

Preferred Education:

Bachelor’s degree – accounting, finance, economics, math or other business concentration; MBA, JD helpful

Preferred Prior Work Experience: 

Fifteen or more years of experience in the financial services industry with direct responsibility for originating, structuring, negotiating and closing complex structured financing transactions preferably in equipment finance and leasing industry.
